About IntraActive Replay
“Replay” refers to IntraActive Replay.
“IntraActive” is a product suite developed by Fellowmind Denmark.
“The IntraActive team” and “We” is the product team in Fellowmind Denmark that is responsible for development of the IntraActive products.
“Fellowmind Denmark” has VAT number DK25790936
“Fellowmind Denmark” is part of “Fellowmind B.V”
“Fellowmind B.V” has VAT number NL814489886B01 and headquarters in Netherlands.
“Player” is an entity in Replay which usually represents a screen where content from Replay is being shown. However, for testing purposes, this could also simply be a browser window on a workstation.
“Replay Kiosk” is an app for Windows that is used to show content from Replay.
“You” and “customer” refers to the customer who chooses to add the Replay app from Teams Store.
Replay is a digital signage product developed by the IntraActive team in Fellowmind Denmark that allows customers to configure content on screens through an app in Microsoft Teams.
App Distribution
Replay is delivered as Software-as-a-Service and hosted by Fellowmind Denmark in Microsoft Azure in Ireland.
Replay is an app for Microsoft Teams and it must be installed from Microsoft Teams Store.
After installation, the app will ask for required permissions which must be given by a Global Admin on the Microsoft tenant where the app is installed.
Player Distribution
IntraActive delivers software for Windows distributed to Microsoft Store to use for showing content from Replay. This is called Replay Kiosk and is used to show the content associated with a Player from Replay.
Registration
Upon adding Replay from Teams Store, your company information, including contact email and phone number, is saved in the Microsoft Partner Portal. We may use this information to contact you and offer our help to get you started with Replay. At any time you can request that this information be removed and that you are no longer contacted.
When adding 2 or more Player licenses, you are required to register your company information for purposes of invoicing. This includes your VAT number.
When you enter your company information after adding 2 or more Player licenses, you are confirming that you have the authority to enter into an agreement with Replay under the terms indicated here.
It is your responsibility to contact us and update contact details and other registration information that may change over time.
Pricing
The current pricing can be seen from within the Replay app in Microsoft Teams under Account Settings.
All prices are exclusive of VAT.
Through campaigns it may be possible to use one or more screens for free on a trial basis.
Payment
By default, each Player is invoiced every month. You can register a credit card for automatic payment. Otherwise you will receive an invoice via email.
If you require special payment conditions, you are welcome to contact us and we will try to oblige.
Any payment fees, such as credit card fees, are paid by you in addition to the cost of the Replay app.
Termination
You can terminate your contract at any time by removing all your Players so you have no more than one Player left in your account and then you can decrease your licensed Player count from inside the Replay app in Microsoft Teams. You will only pay for the month already started at the time of termination.
Alternatively, you can also contact us and request we handle the termination on your behalf.
We reserve the right to terminate any agreement without prior notice and remove all Players, including for customers who are not paying and not limited to reasons of abuse of the Replay app. If the termination is not caused by abuse or breach of these terms, you will receive a full refund for the current month.
Support
Those that use Replay has access to contact the IntraActive team for support on using the Replay product. The support is provided on a best-effort basis. Although customers can usually expect personal support within 24 hours within working hours, this support does not come with any guarantee or SLA.
It is possible to enter into an agreement to establish an SLA for the support of Replay in which case you are welcome to contact us to discuss terms and pricing for this.
Uptime guarantee
Replay offers a 100% uptime guarantee.
Upon downtime on the Replay API, we offer 20% discount for every 1% of downtime in a given month. Upon 95% uptime or less, this results in a 100% discount for all customers. The discount is applied to the next invoice/payment.
Replay will never provide a discount of more than 100% for any month.
Limitations: Replay is only responsible for the uptime of the Replay API and that includes the underlying infrastructure. However, downtime caused by other factors is not regarded as downtime of the Replay API. Examples that does not constitute downtime of the Replay API:
- Downtime of Microsoft Teams
- Downtime of Microsoft 365
- Issues on a Player, whether it be issues on the hardware, operating system, the player software or the network between the Player and the Replay API.
Each downtime event is analyzed by the IntraActive team and it is determined by the IntraActive team whether or not the Replay API was down.
Limitations for non-paying customers
We strive to offer a full range of features for all customers, including those that do not pay due to only using a single Player. However, we reserve the right to restrict or refuse use of any and all features for customers who are not on a paid plan.
This might include such features that require time consuming configuration of integrations to third party systems.
Limitations of liability
Except as described under Uptime guarantee, Replay, IntraActive and Fellowmind is not liable for any loss of revenue, costs incurred, or any other kind of financial loss related to the use of Replay.
For example:
- You are responsible for only giving access to the users who should be able to control the content on the players.
- It is your responsibility to purchase and run appropriate hardware that can run the Players from Replay and we are not liable if any such hardware fails or does not perform satisfactorily.
- Replay is not a backup system and content may be lost.
- Loss of business opportunity or goodwill
In cases where we are deemed liable by agreement or through the justice system, the refund can never exceed the payment that Replay received from the customer in the current month.
Data security and GDPR
Data in Replay is saved in your own Microsoft 365 tenant and in Azure in Ireland. Replay provides features required to uphold the terms of GDPR but it is the responsibility of the customer to be compliant with GDPR and other data security and protection laws that may be applicable for you.
In addition to the content that you add to Replay through the Replay Teams App, we also record username of the users who access the app. In addition we process and may save dynamic content used in the players, such as data coming from RSS feeds.
Marketing
We may ask for your approval to use your company in a case study for marketing purposes on our website and to be distributed elsewhere on and off the internet.
We may choose to highlight any customer as a reference in internal and external marketing, but you are welcome to request at any time that we remove your company from the referral list.
Confidential Information
All content that you add to Replay is regarded as confidential information by us and will not be shared with anyone outside Fellowmind without your explicit consent.
General
If any of these terms are deemed to be invalid or unlawful in accordance with Danish law, then only the terms in question are affected and other terms are still applicable. If any such incompatibility between the terms and Danish law is discovered, we will update the terms as soon as possible.
These terms can be updated with reasonable notice.
The terms are governed by Danish law and disagreements that need to be handled by a court will be handled by courts in Frederiksberg which is the location of the headquarters of Fellowmind Denmark which is the legal entity that Replay belongs to.
